On October 10, 2022, in accordance with the recommendation of the Nominating and Corporate Governance Committee of the Board of Directors (the “Board”) of Decibel Therapeutics, Inc. (the “Company”), the Board elected Kevin McLaughlin as a member of the Board, effective immediately.
Mr. McLaughlin was elected to serve as a Class I director of the Board, until the Company’s 2025 annual meeting of stockholders and until the election and qualification of his successor and subject to his earlier death, resignation or removal. Mr. McLaughlin will serve as Chair of the Audit Committee and as a member of the Compensation Committee. The Board has determined that Mr. McLaughlin is an “independent” director under the Nasdaq rules.
Mr. McLaughlin will receive compensation for his service as a non-employee director in accordance with the Company’s director compensation program, including an automatic grant upon his election of a nonqualified stock option to purchase 20,000 shares of the Company’s common stock at an exercise price equal to $2.88 per share, the closing price of the Company’s common stock on the date of grant, which option will vest and become exercisable in equal monthly installments over the next three years, subject to Mr. McLaughlin’s continued service. Mr. McLaughlin will also be entitled to receive annual cash retainers for his service as a director, plus additional cash compensation for his committee service, and annual equity grants in accordance with the director compensation program.
There are no arrangements or understandings between Mr. McLaughlin and any other persons pursuant to which he was elected as a director. Mr. McLaughlin has no family relationships with any of the Company’s directors or executive officers. There are no transactions and no proposed transactions between Mr. McLaughlin and the Company that would be required to be disclosed pursuant to Item 404(a) of Regulation S-K.
Mr. McLaughlin will enter into the Company’s standard form of indemnification agreement. The form of the indemnification agreement was filed as Exhibit 10.1 to the Company’s Registration Statement on Form S-1 filed with the U.S. Securities and Exchange Commission on January 22, 2021.
